This training conference is held in accordance with the operation of the "three meetings and one layer" of the whole group in recent years and in the context of the new revision of the Company Law proposed by the standing Committee of the National people's Congress. the purpose is to ensure that all tasks in the 2023 performance target book of each company are implemented, all indicators are successfully completed, new achievements are made, new goals are achieved, strategic guidance is strengthened, and scientific decision-making is achieved.

More than 150 people from Zonsen Group's Chongqing companies attended the meeting, including all directors and supervisors, board secretaries, company legal representatives, board office staff, and group strategy center and risk control center personnel. The meeting was presided over by Zhou Xue, Director of the Office of the Board of Directors of the Group.

The training conference first held a simple and solemn consultant appointment ceremony. On behalf of the board of directors of the group, Chairman Zuo Zonsen presented the "Corporate Governance Consultant Appointment Letter" to Professor Hou Guoyue, doctoral supervisor of the School of Civil and Commercial Law of Southwest University of Political Science and Law. Mr. Zuo Zonsen, Chairman of the Board of Directors of Zonsen Group, delivered an important speech on innovative corporate governance, and put forward clear requirements for the performance of directors and supervisors.

Mr. Li Yao, vice chairman of the board of directors and executive vice president of the group, put forward specific requirements for the performance of directors in 2023, and explained the weight of performance evaluation. He introduced the proposed revision of the "Company Law", the adoption of the "the People's Republic of China Foreign Investment Law" by the National People's Congress, and the new challenges to innovating corporate governance and strengthening the performance of directors; this paper introduces the relevant provisions and contents of the notice on strengthening the implementation of "classified management" for the performance of the board of directors/executive directors of various companies, the guidelines for the performance of the board of directors of non-listed companies under Zonsen Group (2023 edition) and the rules of procedure of the board of directors of non-listed companies under Zonsen Group (2023 edition) (I. e. the 2023 words No. 1, 2 and 3 of the board of the board of the board of directors of the group).

Mr. Hou Guoyue, a corporate governance consultant and professor of Southwest University of Political Science and Law, gave a special lecture entitled "The Sense of Responsibility of Directors and Supervisors: Cases, Norms and Guidelines. He focuses on four aspects: the difficult problems of directors and supervisors in performing their duties (practical difficulties), the lessons learned from the responsibilities of directors and supervisors (typical cases), the legal norms of directors and supervisors in performing their duties (legal basis), and the legal guidelines for directors and supervisors in performing their duties. Theory is linked with practice, and the cases are detailed and specific, with strong pertinence. It emphasizes the duty of loyalty and diligence and legal responsibility of directors and supervisors in performing their duties, enhance the sense of responsibility, responsibility and risk of all directors and supervisors.
